Since the financial crisis in November 1997, large corporations have been fingered as the culprits behind the recent economic hardship that befell Korea. Because of the high leverage and low profitability, such corporations are greatly exposed to high risk with the economic fluctuations. The purpose of this paper is to analyze the corporategovernance system in Korea, also to examine the problem and introduce the means of improvement of korea's corporate?governance system.
A concrete means for strengthen bank's role in the corporate governance through this study is as follow,
First, we have to improve production and control ability of information on banks, because of effective monitoring and control of corporates by banks.
Second, it is very important that to formate of a class system on information product and post?monitoring among banks, non?banks and financial market.
Third, it is need to take part in the corporate management by banks with holding equity and voting.
Fourth, it is need to strengthen investor?role for corporates by banks.
In Korea, a corporation and bank has been close?relationship through banking loan for a long time. So it must deserves special emphasis that bank?role of the monitor and checker on corporate management, so to call bank?centered corporate governance.
