This approach is thesis on a study on formation of electronic contracts.
PDC(Preliminary draft convention on [Int'I] contracts concluded or evidenced by data messages) would seem to be focused to achieve the legal certainty and predictability which may arise firm int'l electronic commerce. But the relationship between both them should not be separately, but be closely connected each other. Therefore instead of PDC, it is desirable that already established CISe and MLEC should be used in int'l electronic contracts. It is the first reason that PDC predicts all Issues which can envIsage under electronic commerce environments and could not regulate to cover them. the second reason IS difficulty to examine the limitation of responsibilities between the concerned parties and particularly to follow up the desired degree.
If existing CISe and MLEC are used in int'l electronic contracts, varIous and serious issues, for example the well-known problem of "battle of forms" or unexpected contractual terms which may be a serious problem on the context of electronic transactions, in particular where fully automated systems are used and no means are provided for reconciling conflicting contractual terms, can resolve through the inference of the basic principles mentioned to this study.
