The concept of private university governance is basically meant to encompass a decision-making, operational and control system It also includes the context that universities are in a social relationship and need reform to cope with the crisis. Starting from the early Meiji period, the governance tradition of private universities in Japan is in the current form through the enactment of civil and private school laws. It is a foundation-university, multilayered structure. The Private School Law (2004) and the School Education Law (2014) were enacted to reform the governance of private universities. Major topics included strengthening the management function centered on the board of directors, strengthening social responsibility such as improving the auditing and information disclosure system, and reducing the participation of members through faculty meetings. But so far, discussions are under way. Opinions are divided, in particular, on whether to further tighten restrictions on membership participation. Recently, Korea is also discussing the governance reform of private universities. A significant implication can be obtained from Japan. However, we should pay attention to the difference in legal reality behind institutional similarities. In particular, unlike Japan, we need to put the preceding task of reforming governance in private universities to expand the participation of members.
