In 2004, Japan overhauled its Commercial Code in order to attain "modernization of the corporate law system," and is planning to implement it in April 2006.
This modernization of Japanese corporate laws includes: (1) modernization of the language in Chapter 2 of the Commercial Code regarding provisions for corporations, the Law of Limited Liability Corporations, and the Act Regarding Special Rules of the Commercial Code, and (2) substantive amendments to remove inconsistencies among provisions for various corporation systems and to update various systems to keep up with recent changes in socioeconomic conditions.
The modernization of the language, which had been delayed due to the expected tremendous amount of work, not only translates 19-century-style katakana words into common hiragana words but also changes some terms and adds provisions to ease interpretations. In addition, this modernization includes the creation of a new single code for corporate law (the Corporate Code) to reorganize the corporate law provisions scattered throughout the statutes listed above.
Also, a limited stock corporation (kabushiki gaisha) that merges with a limited liability corporation (yugen gaisha) can take a new godo gaisha system, under which the corporation is allowed to freely choose an organizational structure of management. The responsibilities of directors to the corporation are eased from strict liability to negligence with some exceptions. Also, requirements for filing a shareholder's derivative suit are heightened, and filing is prohibited in certain circumstances.
I believe that these amendments to the Japanese Commercial Code will provide great insight for our country which is planning to amend its own Commercial Code.
